ARTICLE 15 A: CONCEPT OF CORPORATE SPIN-OFF

     

    The corporate spin-off is understood as the transmission of all or part of the assets, liabilities and capital of a company resident in the country, which will be referred to as parent company, to another or other companies resident in the country that are expressly created for it, denominated spun-off. The spin-off referred to in this article may be made in the following terms:

  • When the parent company transmits a part of its assets, liabilities, and capital to one or more spun-off company, without it being extinguished; or
  •  

  • When the parent company transmits all of its assets, liabilities, and capital to two or more spun-off companies, the former being extinguished. In this case, the spun-off company designated in the terms of article 14-B of this Code (CFF: Art. 14B), must keep the documentation referred to in article 28 thereof. (CFF: Art. 28)
